Notarization for Blockchain and Web3 Legal Instruments

Regulatory scrutiny of decentralized organizations and digital asset protocols is intensifying. Legal instruments — DAO operating agreements, token governance documents, multi-signature authorization agreements, and cross-border DeFi contracts — require the same legal rigor as any corporate instrument. Executive Digital Notary provides remote online notarization engineered for the operational and confidentiality requirements of this sector.

Documents Within Scope

  • DAO operating agreements and membership certificates

  • Token purchase agreements and SAFTs

  • Multi-signature governance and authorization instruments

  • DeFi protocol participation and risk disclosure agreements

  • Intellectual property assignments for on-chain projects

  • Founder and contributor vesting agreements

  • Cross-border service agreements for distributed teams

Non-Custodial Document Handling

Executive Digital Notary does not retain client documents after session completion. This zero-persistence approach is intentional and is particularly important for entities with legal obligations under GDPR, CCPA, or other data residency frameworks, as well as organizations that maintain strict operational security protocols.

Document Integrity & Audit Trail

Every notarized instrument is delivered as a tamper-evident PDF with a digital notarial certificate embedded. The session is recorded and archived for the 10-year statutory period required under RCW 42.45.280(6), maintained by the PROOF platform. The complete audit trail — identity verification, session recording, and notarial certificate — is available for regulatory review or counterparty due diligence.

Legal Entity Requirements

Notarization requires that a natural person — a legally cognizable individual — appear as the signatory in their individual or representative capacity. Unincorporated DAOs cannot appear as a signatory. Clients with governance questions about appropriate entity structure should consult qualified legal counsel before scheduling. Executive Digital Notary can recommend counsel with Web3 experience upon request.
